If you are using the Site and the Services on behalf of any entity, you represent and warrant that you are authorized to accept the Site Terms on such entity’s behalf, and that such entity agrees to indemnify you and BandNada for violations of the Site Terms.

We reserve the right to change or modify any of the terms and conditions contained in the Site Terms or any policy or guideline of the Site, at any time and in our sole discretion. Any changes or modifications will be effective immediately upon posting of the revisions on the Site, and you waive any right you may have to receive specific notice of such changes or modifications. BandNada provides live concert streaming services ("Services")

Registration Data & Other Information Provided by You

You agree to: (i) provide accurate, current and complete information about you as may be prompted by any signup, login and/or registration forms on the Site (“Registration Data”); (ii) maintain the security of your password and identification; (iii) maintain and promptly update the Registration Data, and any other information you provide to BandNada, in order to keep it accurate, current and complete; and (iv) accept all risks of unauthorized access to the Registration Data and any other information you provide to BandNada.

You represent and warrant that all Registration Data is accurate, current and complete.

Feedback & Submissions

You acknowledge and agree that any feedback, information or materials you submit to BandNada regarding BandNada, the Site, or BandNada's books, products or services, including but not limited to questions, comments, suggestions, ideas, plans, notes, drawings, or creative materials, whether provided by you in the form of email or other submissions to BandNada, or any postings on the Site (collectively the "Submissions"), are non-confidential and will become the sole property of BandNada. BandNada will own, and you hereby assign to BandNada, all rights in and to such Submissions, including all intellectual property rights, and BandNada will be entitled to the unrestricted use and dissemination of such Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you. User Content and Your Conduct

The Site may include forums and other interactive areas or services (“Interactive Areas”) in which you or other users create, post or share content, messages, product information, materials, data, information, text, music, sound, photos, video, graphics, applications, code or other items or materials ("User Content"). You are solely responsible for your use of such Interactive Areas and the User Content you post.

- Private information of any third party including, but not limited to, addresses, phone numbers, email addresses, Social Security numbers and credit card numbers;

- Viruses, corrupted data or other harmful, disruptive or destructive files or code, script or other software designed to automate any functionality on the Site without BandNada's express written consent;

- User Content that exploits minors in any way or that exhibits cruelty to animals; and

You further agree that you are solely responsible for your conduct while on the Site, and you agree that you will not do any of the following in connection with the Site or its users:

- Use the Site in any manner that could interfere with, disrupt, negatively affect or inhibit other users from fully enjoying the Site or that could damage, disable, overburden or impair the functioning of the Site in any manner;

- Impersonate or post on behalf or any person or entity or otherwise misrepresent your affiliation with a person or entity;

- Flag content or report abuse for improper purposes or without good reason;

- Collect any personal information about other users (except as specifically authorized by BandNada), or intimidate, threaten, stalk, or otherwise harass or cause discomfort to other users of the Site;

- Use the Site for any illegal or unauthorized purpose or engage in, encourage, or promote any illegal activity, or any activity that violates the Site Terms or any other rules or polices established from time-to-time by BandNada;

- Create an account or post any content if you are not over 13 years of age or purchase any items/products if you are not over 18 years of age;

- Modify, adapt, hack or emulate the Site or the Site Materials;

- Circumvent or attempt to circumvent any filtering, security measures or other features designed to protect the Site, users of the Site or third parties; and

- Infringe upon or violate the rights of BandNada, its users or any third party.

BandNada takes no responsibility and assumes no liability for any user conduct or for any User Content posted, stored or uploaded on the Site, nor is BandNada liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography or profanity you may encounter. Your use of Interactive Areas and the Site is at your own risk. Enforcement of the user content and conduct rules set forth in the Site Terms is solely at BandNada's discretion, and failure to enforce such rules in some instances does not constitute a waiver of our right to enforce such rules in other instances. In addition, these rules do not create any private right of action on the part of any third party or any reasonable expectation that the Site will not contain any content that is prohibited by such rules.

Although BandNada does not control and has no obligation to screen, edit or monitor any of the User Content posted in any Interactive Area, BandNada reserves the right, and has absolute discretion, to remove, screen or edit any User Content posted or stored on the Site at any time and for any reason without notice, and you are solely responsible for creating backup copies of and replacing any User Content you post or store on the Site at your sole cost and expense. Any use of the Site in violation of the foregoing violates the Site Terms and may result in, among other things, termination or suspension of your rights to use the Interactive Areas and/or the Site. However, if you post User Content to the Site, you grant BandNada and its affiliates a nonexclusive, royalty-free, perpetual, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such User Content throughout the world in any manner or media, on or off the Site. This includes, without limitation, the right to reproduce, republish and otherwise use and exploit for profit any posts you make and any postcards or other creative materials you create on the Site without compensation to you. BandNada may provide third party content on the Site and may provide links to Web pages and content of third parties (collectively the "Third Party Content") as a service to those interested in this information. BandNada does not control, endorse or adopt any Third Party Content and makes no representation or warranties of any kind regarding the Third Party Content, including without limitation regarding its accuracy or completeness. You acknowledge and agree that BandNada is not responsible or liable in any manner for any Third Party Content and undertakes no responsibility to update or review any Third Party Content.
